Partner Terms & Conditions

These Partner Terms & Conditions ("Agreement") describe the intended terms that will govern participation as a partner business ("Partner") on the Cana Reserve platform ("Platform"). Final terms will be presented before any partnership agreement is formalized.
1. Partner Status and Eligibility
1.1 Application and Approval. Participation in the Cana Reserve platform is by invitation and application only. Submission of a partner application does not guarantee approval. Cana Reserve reserves the right to approve, reject, or revoke any partner application at its sole discretion.
1.2 Eligibility. Partners must be legitimately and legally operating businesses with a valid physical location. Partners must maintain all required business licenses, permits, and insurance for their jurisdiction and business type.
1.3 One Location Per Account. Each partner account corresponds to one physical business location. Multi-location businesses must submit a separate application for each location.
1.4 Right to Curate. Cana Reserve is a curated platform. We reserve the right to decline or remove any partner that does not meet our brand, quality, or conduct standards, without cause or obligation to explain.
2. Partner Fees
2.1 Standard Listing. Standard participation and a standard listing on Cana Reserve are free. Cana Reserve does not charge setup fees, monthly fees, commissions on ordinary partner sales generated through the standard listing, or per-redemption fees for standard participation.
2.2 Optional Paid Services. Cana Reserve may offer optional paid services including featured placement, promoted events, sponsored communications, event ticketing, targeted member offers and enhanced analytics. Participation in paid services is optional and will be governed by separate terms. Standard listings remain free to Partners who do not participate in paid services.
2.3 Ticketing and Sponsored Programs. Separate terms may apply to optional ticketing, paid promotions or sponsored programs. Participation in such programs does not affect standard listing terms.
2.4 No Obligation. Partners are under no financial obligation to Cana Reserve for standard participation. This Agreement is not a financial contract or purchase agreement for standard listings.
3. Required Member Offers
3.1 Minimum Offer Standards. In exchange for being featured on the Cana Reserve platform and receiving qualified member traffic at no cost, Partners agree to provide genuine value to Cana Reserve members. Participation without meaningful member benefits is not permitted.
3.2 Winery Benefit Standard. Participating wineries provide Cana Reserve members with a meaningful preferred benefit appropriate to their business and consistent with the Cana Reserve Best-Benefit Guarantee. Cana Reserve does not require a winery to offer a complimentary tasting or percentage discount. The participating winery selects and approves its benefit.
3.2a No Commission Policy. Cana Reserve charges no commission on ordinary partner sales or winery-owned wine-club enrollments.
3.3 Non-Winery Partners. Restaurant, hotel, retail, and experience partners must offer a meaningful member benefit as agreed upon during onboarding. The participating business selects and approves its benefit consistent with the Cana Reserve Best-Benefit Guarantee and clearly disclosed eligibility and restrictions.
3.4 Accuracy of Offers. Partners represent and warrant that all submitted offers are accurate, currently available, and genuinely offered to Cana Reserve members. Submitting offers the Partner does not intend to honor is grounds for immediate removal.
3.5 Offer Changes. Partners may update, add, or remove offers at any time through the Partner Portal. All offer changes are subject to Cana Reserve review before going live. Partners may not reduce offers below the standards set forth in Sections 3.2 or 3.3 while remaining active on the Platform.
4. Partner Restrictions and Controls
4.1 Permitted Restrictions. Partners may apply the following restrictions to their offers, provided each restriction is clearly disclosed in the offer listing before a member activates a benefit:
- Blackout dates (holidays, special events, private events)
- Reservation or advance booking requirements
- Party size limits
- Per-member redemption frequency limits as disclosed in the listing
- Daily or weekly redemption caps
- Offer expiration dates
- Product exclusions (e.g., reserve or library wines excluded from discounts)
4.2 Restrictions Must Be Disclosed. All restrictions must be clearly stated in the offer description in the Partner Portal. Partners may not apply restrictions that are not disclosed to members prior to redemption.
4.3 Prohibited Conduct. Partners may not treat Cana Reserve members in a discriminatory or degrading manner; deny valid redemptions without cause; apply hidden restrictions not disclosed in the Partner Portal; offer a lesser benefit than what is displayed in the member's app; or require members to make additional purchases not disclosed in the offer.
5. Redemption Process
5.1 Member-Initiated Redemption. The member selects the participating business and activates the displayed benefit in the Cana Reserve app. The platform generates a time-limited active redemption screen containing the participating business, current timestamp and a unique redemption identifier.
5.2 Partner Staff Verification. Partner staff visually confirm that the screen is active and corresponds to their business. When the confirmation function is available, staff may tap the confirmation button on the member's phone. The platform records the redemption.
5.3 No Partner Hardware Required. No partner-owned hardware, installed staff application or POS integration is required for standard redemption. Minimal staff onboarding is required to understand how to confirm a valid redemption screen.
5.4 Redemption Window. The active redemption screen remains valid for five minutes after activation unless a different period is displayed. An expired screen cannot be used and must not be honored.
5.5 Redemption Frequency. Redemption frequency, reservation requirements, blackout dates, party-size limits and other reasonable restrictions, if any, are displayed in the applicable participating-business listing before the member activates the benefit. Platform-enforced limits may apply. Cana Reserve reserves the right to set or adjust platform-level redemption controls.
5.6 Fraud Prevention. Partners must not honor an expired, screenshot, or otherwise invalid redemption screen. Cana Reserve is not responsible for fraudulent redemptions accepted without proper visual verification.
6. Partner Profile and Content
6.1 Accuracy. Partners are responsible for ensuring that all profile content — including business name, address, hours, descriptions, photos, and offers — is accurate and up to date.
6.2 Content Rights. By uploading photos, logos, or other content to the Platform, Partners grant Cana Reserve a non-exclusive, royalty-free license to display that content within the Platform and in related marketing materials.
6.3 Content Standards. All content must be appropriate, accurate, and non-deceptive. Cana Reserve reserves the right to remove or modify content that violates these standards.
7. Data, Reporting and Member Privacy
7.1 Planned Partner Reporting. Cana Reserve plans to provide participating partners with reporting on recorded member visits, benefit redemptions, offer claims and other attributed activity when supported by verified data. This reporting is a planned feature and is not yet operational.
7.2 Reporting Basis. Reporting is based on activity recorded through Cana Reserve or confirmed by the participating business. Visits, purchases and activity occurring outside supported tracking may not appear.
7.3 Default Aggregation. Partner reporting is aggregated or de-identified by default. Partners do not automatically receive individual member identities, contact information, complete visit histories, location history, purchase history or activity involving unrelated partners.
7.4 Authorized Information Sharing. Personal member information may be shared with a partner only when necessary to complete a member-requested reservation, redemption or experience; when the member requests partner contact; when the member expressly opts into wine-club or sales follow-up; or when disclosure is otherwise necessary to deliver the requested benefit.
7.5 Partner Data Obligations. Partners may use member information only for the member-requested interaction or expressly authorized follow-up. Partners may not resell, share or use member contact information for unrelated or unsolicited marketing. Partners must comply with applicable privacy law when handling any member data received through Cana Reserve.
7.6 Data Accuracy. Partners may request correction of inaccurate reporting through the partner portal or by contacting [email protected].
7.7 Cana Reserve Analytics. Cana Reserve may use aggregated or de-identified partner and redemption data for platform analytics, reporting, product improvement and marketing, subject to the Privacy Policy.
7.8 Payment Information. Cana Reserve does not provide member payment-card information to participating partners.
8. Term, Suspension and Termination
8.1 Term. This Agreement begins when a Partner is approved and goes live on the Platform and continues until terminated by either party.
8.2 Partner Termination. Partners may terminate their participation at any time by contacting Cana Reserve at [email protected]. Upon termination, the Partner's profile and offers will be removed from member-facing views.
8.3 Cana Reserve Termination. Cana Reserve may suspend or terminate a Partner's participation at any time, with or without cause, including violation of this Agreement, member complaints, failure to honor offers, or conduct inconsistent with Cana Reserve's brand standards.
8.4 Effect of Termination. Upon termination, the Partner's profile and all offers are removed from the Platform. Redemption history and logs are retained per applicable retention policy.
9. Representations and Warranties
Partner represents and warrants that it is a legitimate, legally operating business maintaining all required licenses and permits; all information submitted is true, accurate and complete; it has full authority to enter into this Agreement; all offers are genuine and will be honored as described; and it will treat Cana Reserve members with the same courtesy and service standards extended to all customers.
10. Disclaimers and Limitation of Liability
10.1 No Guarantee of Traffic. Cana Reserve does not guarantee any minimum number of member visits, redemptions or revenue to Partner businesses. Partner participation is not an investment or financial arrangement.
10.2 Platform Availability. Cana Reserve does not warrant that the Platform will be available at all times.
10.3 Limitation of Liability. To the maximum extent permitted by applicable law, Cana Reserve's total liability to any Partner for any claim arising out of this Agreement shall not exceed $100. Cana Reserve is not liable for indirect, incidental, special, or consequential damages of any kind.
10.4 Indemnification. Partner agrees to indemnify and hold harmless Cana Reserve and its officers, employees, and agents from any claims, damages, or expenses arising from Partner's breach of this Agreement, Partner's conduct toward members, or any claim related to Partner's business operations.
11. General
11.1 Governing Law. This Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
11.2 Dispute Resolution. Any dispute arising from this Agreement shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in Orange County, California under JAMS rules.
11.3 Modifications. Cana Reserve reserves the right to modify these terms at any time. Partners will be notified of material changes via email. Continued participation following notice of changes constitutes acceptance of the updated terms.
11.4 Entire Agreement. This Agreement constitutes the entire agreement between Cana Reserve and Partner with respect to Partner's participation on the Platform.
11.5 Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.
